Anthropic, the company behind the Claude family of AI models, has filed for an initial public offering (IPO) in the US.

According to the announcement on its website, Anthropic, PBC submitted a registration statement on Form S-1 to the US Securities and Exchange Commission (SEC) on October 26th. The filing covers a proposed IPO of its Class A common stock, which the company plans to list on the Nasdaq Global Select Market under the symbol 'ANT'. Anthropic also shared the news on X (formerly Twitter).

What the filing does and doesn't say

Anthropic has not yet decided how many shares it will offer or what the price range will be. The offering will be made only through a prospectus, and copies of the preliminary prospectus will be available from Goldman Sachs and Morgan Stanley once it is published.

The registration statement has been filed but has not yet become effective. Until it does, the shares cannot be sold and offers to buy them cannot be accepted. The company also stressed that the announcement itself is not an offer to sell the stock.

Anthropic ahead of its listing

Anthropic is a public benefit corporation (PBC), a for-profit company that is also bound to a stated public purpose. According to its company page, that purpose is "the responsible development and maintenance of advanced AI for the long-term benefit of humanity." Its Board of Directors is elected by stockholders and by its Long-Term Benefit Trust, a separate body whose trustees include Ben Bernanke. Physicist Christopher Stubbs joined the Trust on October 21st.

The filing follows a busy few weeks for the company. On October 18th, Anthropic said it would commit a portion of its shares to the Anthropic Public Benefit Fund, a new entity whose stake grows as the company grows. It released Claude Opus 5.5 on September 22nd, Claude Sonnet 5.5 on September 28th and Claude Haiku 5.5 on October 7th, and opened an office in Singapore on October 14th.
